Early redemption (issuer)

Use of proceeds

The gross proceeds of up to EUR 2,000,000, after deduction of issue and transaction costs, serve to finance and further develop the operating business of the issuer and the STUDIRACH Group.

Intended categories of use: advisory and project development services, staffing and recruiting projects, digitalisation, software and process development, administrative and commercial services, working capital, customer development, talent acquisition and the build-up of an appropriate liquidity reserve.

Key risks

The following selection does not replace reading the full prospectus, in particular the section “Risk factors”.

  • Qualified subordination and payment block (risk: high)Interest, redemption and other claims may be blocked for an indefinite period even before insolvency and, in insolvency, are only considered after all senior creditors. This may result in a total loss of capital and interest.
  • Dependence on STUDIRACH GmbH (risk: high)A substantial part of the net proceeds may be made available to STUDIRACH GmbH as an unsecured intra-group loan. Investors have no direct claim against STUDIRACH GmbH.
  • Low capitalisation, no track record (risk: high)The issuer was established in 2026 with equity of CHF 30,000. No audited financial statements for a completed financial year exist; there is no rating.
  • Labour market, customer demand, regulation (risk: high)The group’s temporary staffing and placement business depends on customer demand, availability of workers, wage costs and the legal framework.
  • Illiquidity (risk: medium)The bond is not listed and is not traded on any trading system. There is no assurance that a buyer can be found before final maturity.
